TaskGPT AssistAI Limited Trial Terms of Use

These Terms of Use (“Terms”) govern your use of  the TaskGPT AssistAI tool (“AssistAI”) offered by TaskUs Holdings, Inc. (“TaskUs” or “We”) for purposes of a limited trial.  By accessing AssistAI you confirm that you have read, understood and agree to abide by these Terms. If you do not agree to abide by these Terms, do not access AssistAI.

1. Minimum Age and Registration.
Minimum Age
You must be at least 18 years old or the minimum legal age required in your country to consent to use AssistAI. If you are under 18 you must have your parent or legal guardian’s permission to use AssistAI.
Registration
You must provide accurate and complete information to register for an account to use AssistAI. You may not share your account credentials or make your account available to anyone else, and you are fully responsible for all activities that occur under your account. If you create an account or use AssistAI on behalf of another person or entity, you must have the authority to accept these Terms on their behalf. TaskUs, at its sole discretion, may revoke your access to AssistAI at any time for any or no reason and without notice.
2. Access Requirements
Access to AssistAI
Subject to your compliance with these Terms, you may access, and we grant you, a non-exclusive right to access and use AssistAI for a limited trial period for demonstration purposes only. By accessing AssistAI, you agree that you will comply with these Terms and all applicable laws and any other document, guidelines or policies we make available to you regarding the use of AssistAI. TaskUs and its affiliates own all rights, title, and interest in and to AssistAI and no other rightis granted to you except for those expressly listed under these Terms.
Use Restrictions
You may not (i) use AssistAI in a way that infringes, misappropriates or violates any person’s or legal entity’s rights, or to obtain unauthorized access to any system or information; (ii) copy, modify, mimic or create derivative works or similar works to AssistAI, in whole or in part; (iii) reverse engineer, disassemble, reverse compile, decompile, decode, adapt, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of AssistAI; (iv) use AssistAI to develop products or services that compete with TaskUs or mimic AssistAI, including to develop or train any artificial intelligence or machine learning algorithms or models; (v) use any method to extract data from AssistAI, including web scraping, web harvesting, or web data extraction methods, other than as permitted through AssistAI; (vi) represent that the Output from AssistAI was human-generated when it is not, or to use the Output to deceive any person; or (vii) buy, sell, or transfer AssistAI without our prior written consent, (viii) abuse, harm, interfere with or disrupt AssistAI, including but not limited to introducing viruses or malware, spamming or bypassing any of TaskUs security systems.
Feedback
If you send or transmit any communications or materials to TaskUs by mail, email, telephone, or otherwise, suggesting or recommending changes to AssistAI, including without limitation, new features or functionality relating thereto, or provide any comments, questions, suggestions, or the like, collectively referred to as “Feedback”, TaskUs is free to use such Feedback free of charge irrespective of any other obligation or limitation between you and TaskUs governing such Feedback. You hereby assign to TaskUs any and all rights, title, and interests in and to such Feedback, and you agree that TaskUs is free to use such Feedback, without any attribution or compensation to you or any third-party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although TaskUs is not required to use any Feedback.
3. Content
Your Content

You may provide input to  AssistAI (“Input”), and receive output generated and returned by AssistAI based on the Input (“Output”). Input and Output are collectively “Content.” You represent and warrant that you have all rights, licenses, and permissions needed to provide Input to AssistAI. We will use the Content as necessary to provide and maintain  AssistAI, comply with applicable laws, and enforce TaskUs’ policies. You are responsible for the Content, including for ensuring that it does not violate any applicable laws or these Terms.  THE LIMITED LICENSE GRANTED HEREIN IS SOLELY FOR PURPOSE OF A LIMITED TRIAL TO DEMONSTRATE THE OF THE CAPABILITIES OF ASSISTAI.  THEREFORE, YOU MAY NOT  SUBMIT PERSONALLY IDENTIFIABLE INFORMATION OR PERSONAL HEALTH INFORMATION AS INPUT WHEN USING ASSISTAI.

Accuracy
Artificial intelligence and machine learning are rapidly evolving fields of study. We are constantly working to improve AssistAI to make it more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of AssistAI may, in some situations, result in Output that does not accurately reflect real human thought processes, places, or facts. When you use AssistAI you understand and agree that: (i) Output may not always be accurate; You should not rely on Output from AssistAI as a sole source of truth or factual information, or as a substitute for professional advice; (ii) You must evaluate Output for accuracy and appropriateness for your use case, including using human reviews to validate the Output as appropriate, before using or sharing Output from AssistAI; (iii) You must not use any Output relating to a person for any purpose that could have a legal or material impact on that person, such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them; (iv) AssistAI may provide incomplete, incorrect, or offensive Output that does not represent TaskUs’ views or opinions. If Output references any third party products or services, it doesn’t mean the third party endorses or is affiliated with TaskUs.
4. Confidentiality & Security
Confidentiality
You may be given access to Confidential Information (defined below) of TaskUs, its affiliates, and other third parties. You may not disclose Confidential Information to any third party, and you will protect Confidential Information in the same manner that you protect your own confidential information of a similar nature, using at least reasonable care. Confidential Information means nonpublic information that TaskUs, its affiliates, or third parties designate as confidential or should reasonably be considered confidential under the circumstances, including software, specifications, and other nonpublic business information. Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of yours; (ii) you already possess without any confidentiality obligations when you received it under these Terms; (iii) is rightfully disclosed to you by a third party without any confidentiality obligations; or (iv) you independently developed without using Confidential Information. You may disclose Confidential Information when required by law or the valid order of a court or other governmental authority if you give reasonable prior written notice to TaskUs and use reasonable efforts to limit the scope of disclosure, including assisting TaskUs with challenging the disclosure requirement.
Security
You must implement reasonable and appropriate measures designed to help secure your access to and use of AssistAI. If you discover any vulnerabilities or breaches related to your use of AssistAI, you must promptly contact TaskUs at the notice address or email below and provide details of the vulnerability or breach.
5. Termination
These Terms take effect when you first use AssistAI and remain in effect for the lesser of: (i) the time period during which you are logged into AssistAI for a trial of it or (ii) as terminated by TaskUs. TaskUs may terminate these Terms for any reason at any time without any notice.
6. Indemnification; Disclaimer of Warranties; Limitations on Liability
Indemnity
You will defend, indemnify, and hold harmless TaskUs, its affiliates, its directors, officers, employees, parents, agents, successors and assigns, from and against any claims, losses, and expenses (including attorneys’ fees) arising from or relating to your use of AssistAI, including your Content, products or services you develop or offer in connection with AssistAI and your breach of these Terms or violation of applicable law.
Disclaimer
ASSISTAI IS PROVIDED “AS IS” AND TASKUS HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE TO THE EXTENT PERMITTED BY APPLICABLE LAW. TASKUS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE OR UPTIME AVAILABILITY. TASKUS MAKES NO WARRANTY OF ANY KIND THAT ASSISTAI, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM ASSISTAI I IS AT YOUR SOLE RISK AND YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.
Limitations of Liability

YOU AGREE THAT ITS SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH ASSISTAI IS TO STOP ACCESSING AND USING ASSISTAI. YOU AGREE THAT TASKUS HAS NO OBLIGATION OR LIABILITY ARISING FROM OR RELATED TO THIRD-PARTY APPLICATIONS OR THE CONTENT THEREOF MADE AVAILABLE THROUGH OR IN CONNECTION WITH ASSISTAI, AND WHILE YOUR RELATIONSHIP WITH SUCH THIRD-PARTY APPLICATIONS MAY BE GOVERNED BY SEPARATE AGREEMENTS WITH SUCH THIRD PARTIES, YOUR SOLE AND EXCLUSIVE REMEDY, AS WITH RESPECT TO ASSISTAI, FOR ANY PROBLEMS OR DISSATISFACTION WITH ANY THIRD-PARTY APPLICATIONS OR THE CONTENT THEREOF, IS TO UNINSTALL OR STOP USING SUCH THIRD-PARTY APPLICATIONS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TASKUS, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS, OR LICENSORS BE LIABLE FOR (1) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (2) ANY LOSS OF USE, DATA, CONFIDENTIAL INFORMATION, PERSONAL DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), IN ALL CASES ARISING OUT OF THE USE OF OR INABILITY TO USE ASSISTAI, DEVICES, THIRD-PARTY APPLICATIONS, OR THIRD-PARTY APPLICATION CONTENT, REGARDLESS OF LEGAL THEORY, INCLUDING NEGLIGENCE, WITHOUT REGARD TO WHETHER OR NOT YOU HAVE BEEN WARNED OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. TASKUS’ TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THIS LIMITATION OF LIABILITY IS AN ESSENTIAL TERM OF CONTRACT UPON WHICH TASKUS HAS RELIED.

7. Dispute Resolution
YOU AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS:
MANDATORY ARBITRATION
You and TaskUs agree to resolve any claims relating to these Terms or AssistAI through final and binding arbitration.
Informal Dispute Resolution

We would like to understand and try to address your concerns prior to formal legal action. Before filing a claim against TaskUs, you agree to try to resolve the dispute informally by sending us notice at legal@taskus.com of your name, a description of the dispute, and the relief you seek. If we are unable to resolve a dispute within 90 days, either party has the right to initiate arbitration.

Arbitration Procedures

Except for any claims concerning rights to intellectual property, you agree that any claim, controversy or dispute arising out of or relating to these Terms or the use of AssistAI will be resolved, to the fullest extent permitted by law, by final, binding and confidential arbitration before a single arbitrator selected from and administered by the JAMS Foundation (“JAMS”) or its successor, pursuant to the existing commercial or business disputes arbitration rules or procedures.  The arbitration will take place at the JAMS office located in Texas.  The arbitrator will have no authority to modify any provision of these Terms or to award punitive damages.  The decision rendered by the arbitrator will be final and binding on the you and TaskUs, and judgment may be entered in conformity with the decision in any court having competent jurisdiction. Any court proceedings for preliminary relief, and any court proceedings related to the arbitration of a dispute, will be brought in state or federal court in Texas.

CLASS AND JURY TRIAL WAIVERS
Disputes must be brought on an individual basis only, and may not be brought as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed. If for any reason a dispute proceeds in court rather than through arbitration, each party knowingly and irrevocably waives any right to trial by jury in any action, proceeding, or counterclaim. This does not prevent either party from participating in a class-wide settlement of claims.
8. General Terms
Relationship of the Parties
These Terms do not create a partnership, joint venture or agency relationship between you and TaskUs or any of TaskUs’ affiliates. TaskUs and you are independent of one another and neither party will have the power to bind the other or to incur obligations on the other’s behalf without the other party’s prior written consent.
Use of Brands
You may not use TaskUs’ or any of its affiliates’ names, logos, or trademarks, without TaskUs’ prior written consent.
Terms Modifications
We may amend these Terms from time to time by posting a revised version on the website or providing an in-service notification. Changes will become effective immediately. Your continued use of AssistAI after any change means you agree to such change.
Notices

All notices will be in writing. We may notify you using the registration information you provided or the email address associated with your use of AssistAI. Notice is deemed given on the date of receipt if delivered by email or on the date sent via courier if delivered by post. TaskUs accepts notices at this address:

Equitable Remedies
You acknowledge that if you violate or breach these Terms, it may cause irreparable harm to TaskUs and its affiliates, and TaskUs shall have the right to seek injunctive relief against you in addition to any other legal remedies.
Force Majeure
In no event shall TaskUs be liable to you, or be deemed to have breached these Terms, for any failure or delay in performing its obligations under these Terms, if and to the extent such failure or delay is caused by any circumstances beyond TaskUs’ reasonable control, including but not limited to acts of God, flood, fire, earthquake, OTHER POTENTIAL DISASTER(S) OR CATASTROPHE(S), SUCH AS EPIDEMICS, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.
Severability
If any provision of these Terms is determined to be invalid by an arbitrator or court, or is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.
Governing Law; Submission to Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Texas without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the State of Texas.
Assignment
You may not assign or transfer any part of these Terms without the written consent of TaskUs.
Export Regulation
Each party shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings (including obtaining any necessary export license or other governmental approval), that prohibit or restrict the export or re-export of AssistAI or any of your Data outside the US.
US Government Rights
Each of the Documentation and the software components that constitute AssistAI is a “commercial product” as that term is defined at 48 C.F.R. § 2.101, consisting of “commercial computer software” and “commercial computer software documentation” as such Terms are used in 48 C.F.R. § 12.212. Accordingly, if you are representing an agency of the US Government or any contractor therefore, you only receive those rights with respect to AssistAI and Documentation as are granted, in accordance with (a) 48 C.F.R. § 227.7201 through 48 C.F.R. § 227.7204, with respect to the Department of Defense and their contractors, or (b) 48 C.F.R. § 12.212, with respect to all other US Government users and their contractors.
Entire Agreement
These Terms contain the entire agreement between you and TaskUs regarding use of AssistAI for purposes of a limited trial demonstration and, other than any service-specific terms, supersedes any prior or contemporaneous agreements between you and TaskUs with respect to the subject matter hereof.
